Hero Motors IPO Opportunity, Risks and What Investors Should Watch

Hero Motors IPO Opportunity, Risks and What Investors Should Watch

Hero Motors is entering the public market with a ₹1,000 crore IPO at a time when India’s mobility supply chain is being re-rated for its electric-vehicle and premiumisation potential. But this is not a simple two-wheeler ancillary story. Hero Motors is positioning itself as an integrated powertrain-solutions company, with exposure to electric mobility, premium motorcycles, e-bikes, automotive applications and specialised engineering.

The IPO comprises a fresh issue of ₹600 crore and an offer for sale of ₹400 crore. At the centre of the investment case is one question: can the company convert improving operating performance into durable returns while reducing leverage and managing its global execution risk?

What Hero Motors actually does

Hero Motors designs, develops, validates and manufactures powertrain systems and components for electric and conventional mobility. Its product universe includes motors, transmissions, gears, drivetrain solutions and metallic components.

The company operates two broad segments: Powertrain Solutions and Alloys & Metallics. In FY26, Powertrain Solutions contributed 53.7% of revenue, while Alloys & Metallics contributed 46.3%.

Its customer list includes BMW, Ducati, Enviolo, Formula Motorsport and other global manufacturers. It has six manufacturing facilities across India, the United Kingdom and Thailand, including a joint-venture manufacturing facility with Yamaha Motor Japan in Ludhiana.

This global footprint is a differentiator, but it also makes the business more exposed to export cycles, overseas demand conditions and underutilised capacity.

Financial performance: margins are moving in the right direction

Hero Motors reported FY26 revenue from operations of ₹1,188.4 crore, up 9.1% from ₹1,089.6 crore in FY25. Profit after tax rose to ₹41.2 crore from ₹32.8 crore a year earlier.

The more meaningful improvement is in profitability. EBITDA margin rose from 8.1% in FY24 to 10.5% in FY25 and 12.4% in FY26. PAT margin expanded from 1.6% to 3.5% over the same period.

That trend suggests operating leverage and better cost control are beginning to show. However, investors should remember that a 3.5% PAT margin still gives the business limited room to absorb a slowdown in volumes, raw-material inflation, foreign-exchange volatility or warranty-related costs.

Where the fresh money goes

The fresh issue proceeds are intended to support three important priorities:

  • ₹190 crore for repayment or prepayment of borrowings

  • ₹200 crore for capacity expansion at the Gautam Buddha Nagar facility in Uttar Pradesh

  • Funding for inorganic growth, strategic initiatives and general corporate purposes

Debt reduction is important because Hero Motors reported total borrowings of approximately ₹400.8 crore as of March 2026. The company’s net debt-to-adjusted EBITDA ratio stood at 2.24 times.

The capital-expenditure programme can strengthen its ability to serve new powertrain opportunities. But the unidentified acquisition and strategic-growth component should be watched carefully; it gives management flexibility, but investors do not yet have a defined acquisition target to assess.

The opportunity: electrification without being a pure EV bet

Hero Motors offers an interesting route into mobility electrification without depending on one vehicle category. The company has exposure to e-bikes, electric two-wheelers, premium motorcycles, automotive powertrains and other specialised mobility applications.

The RHP points to a meaningful structural tailwind. EV penetration in motorcycles is projected to rise sharply by 2031, while global e-bike volumes are also expected to grow. If Hero Motors can win more system-level programmes rather than only component supply contracts, its revenue mix and margins may improve over time.

Its relationship with global OEMs and specialist brands is another positive. In automotive supply chains, a successful platform qualification can create a long revenue runway. The challenge is that these relationships must be protected through consistent quality, delivery and pricing discipline.

The risks investors should not ignore

Customer concentration remains material. Hero Motors’ top five customers accounted for 61.4% of FY26 revenue, while its top ten customers accounted for more than 72%. A reduction in orders from one large customer can quickly affect utilisation, margins and cash generation.

Europe is another key risk. Europe contributed 33.6% of FY26 revenue. Any recession, demand slowdown, regulatory shift or geopolitical disruption in that market could affect exports.

The company is also dependent on a limited supplier base for some critical raw materials. In an auto-component business, disruption in supply, higher input prices or quality failures can lead to direct costs and potentially damage customer relationships.

Finally, receivable days increased to 78 in FY26 from 67 days in FY24. That does not invalidate the growth story, but it means investors should monitor whether profit growth translates into stronger free cash flow.

Nivesh Street view

Hero Motors is an improving business, not yet a fully proven compounding story. The IPO gives investors access to a company with credible mobility credentials, established global customers and rising operating margins.

The opportunity lies in its ability to scale EV and system-level powertrain exposure, reduce debt and improve utilisation across facilities. The risk lies in customer concentration, overseas exposure and a balance sheet that still needs further strengthening.

For long-term investors, the key metric after listing will not be the first few quarters of revenue growth. It will be whether Hero Motors can sustain EBITDA-margin expansion while keeping receivables, debt and customer concentration under control.
