In an exchange filing, the Mukesh Ambani-led company said its board had approved an enabling resolution authorising the issuance of listed, secured or unsecured, redeemable non-convertible debentures worth up to Rs 15,000 crore.

The proposed issuance will be undertaken in one or more tranches through the private placement route.

Reliance Industries has approved plans to raise up to Rs 15,000 crore through non-convertible debentures via private placement. The fundraising announcement came with the company's Q2 earnings where it reported a 41% year-on-year rise in net profit to Rs 25,548 crore.

"We wish to inform you that the Board of Directors of the Company, at its meeting held today has passed an enabling resolution authorising the issuance of listed, secured / unsecured, redeemable non-convertible debentures up to Rs. 15,000 crore (Rupees Fifteen Thousand Crore only), in one or more tranches, on private placement basis," RIL said in the filing.

As of September 30, 2026, the company's outstanding non-convertible debentures stood at approximately Rs 39,389 crore, before accounting for prepaid finance charges and fair valuation impact. Of this, secured NCDs accounted for approximately Rs 20,000 crore.

During the September quarter, RIL also issued listed, unsecured, redeemable non-convertible debentures worth approximately Rs 12,000 crore (PPD Series Q) through private placement.

Commenting on the quarterly performance, Mukesh Ambani, Chairman and Managing Director of Reliance Industries, said the company's businesses delivered a strong performance despite a complex operating environment.

"During the second quarter, our businesses delivered a strong performance despite a complex operating environment. Commodity markets remained volatile while geopolitical tensions continued to weigh on global supply chains. Against this backdrop, the domestic orientation of our portfolio, combined with operational discipline and versatility of our integrated businesses, helped Reliance navigate external volatility effectively," Ambani said.

RIL Q2 Results

Reliance Industries reported a 41% YoY increase in consolidated net profit to Rs 25,548 crore for the September quarter, compared with Rs 18,165 crore in the corresponding period last year.
